These Terms of Use govern your access to and use of AdrianMedici.com and any products, materials, software, educational materials, workflows, guides, support communications, and related content made available by AdrianMedici ("AdrianMedici," "we," "us," or "our"). By accessing this website, submitting a request, receiving pricing information, purchasing any product, or using any AdrianMedici materials, you agree to be bound by these Terms of Use.

1. Operator Identity

This website is operated under the AdrianMedici trade name. The business is operated from Wyoming, United States. Contact: [email protected]. Legal notices relating to confidentiality reports may be directed to [email protected].

2. Nature of the Product

AdrianMedici provides an educational product relating to algorithmic trading research, implementation concepts, and workflow execution. Unless expressly stated otherwise in writing, a purchase may include software code, strategy logic, setup documentation, implementation guidance, educational explanations, and limited support communications. The product is educational and informational in nature. It is not investment advice, legal advice, tax advice, brokerage services, portfolio management, fiduciary services, or a solicitation to buy or sell any security or financial instrument.

3. No Enrollment or Sale Obligation

Submission of a form, inquiry, or request for pricing does not create any obligation for AdrianMedici to approve, admit, accept, transact with, support, or continue communication with any applicant. We reserve the right, in our sole discretion, to reject, ignore, limit, postpone, or refuse any inquiry, order, or applicant for any lawful reason.

4. Buyer Qualification and Assumption of Responsibility

This product is intended only for individuals who understand that trading involves significant risk, that historical testing does not guarantee future results except as expressly stated in these Terms, that they must supply and maintain their own broker and technical environment, and that all trading decisions remain their own responsibility. By submitting a request or purchasing, you represent that the confirmations you provided are accurate and that you are acting with genuine purchase intent.

5. No Performance Promise or Earnings Representation

Any backtest results, out-of-sample results, hypothetical projections, numerical comparisons, examples, model outputs, educational illustrations, or scenario analyses are provided solely for informational and educational purposes. They are based on historical data, assumptions, modeling choices, or test conditions. Past performance is not indicative of future results. Trading leveraged products involves substantial risk of loss, including the loss of all or part of capital. The sole exception to this section is the 5-Year Performance Guarantee described in Section 24, which constitutes a contractual commitment and not a performance prediction.

6. No Investment Advice

Nothing on this website or in any AdrianMedici product, guide, email, response, support message, document, video, or communication constitutes investment advice, a recommendation, a personal financial recommendation, or a solicitation. You remain solely responsible for evaluating whether any strategy, code, signal, market, broker, platform, automation method, or trade is appropriate for your financial situation, goals, and risk tolerance. All trading, allocation, execution, configuration, and risk decisions are exclusively yours.

7. Educational Use Only; No Guaranteed Outcome

The product is offered as an educational resource to help you understand and implement a trading workflow. We do not promise that you will achieve any specific profit, account growth, execution quality, automation result, or learning outcome. Your results may differ materially from any example shown for reasons including timing, capital, execution quality, psychology, slippage, commissions, taxes, missed signals, operational errors, software differences, market regime changes, and user judgment. The sole exception is the 5-Year Performance Guarantee described in Section 24, which applies exclusively to purchasers who meet all stated conditions of that section.

8. User Responsibilities and Environment Requirements

You are responsible for preparing, funding, maintaining, and properly using any required third-party environment, software, services, broker accounts, charting tools, exchange permissions, automation tools, integrations, internet connectivity, and devices needed to use the product, including without limitation Interactive Brokers, TradingView, and Make or similar services. You are responsible for the correct installation, configuration, testing, monitoring, and ongoing use of the product. No failure by you to understand, configure, or operate the product creates a right to refund, reversal, complaint-based compensation, or performance claim against AdrianMedici except as expressly provided in Section 24.

9. License and Permitted Use

Subject to full payment and compliance with these Terms of Use, AdrianMedici grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the purchased materials solely for your own internal personal or business use. You may not resell, redistribute, publish, repost, transmit, disclose, lease, lend, sublicense, share accounts, copy for commercial distribution, or otherwise make the materials available to any third party without prior written consent from AdrianMedici.

10. Confidentiality and Non-Disclosure

All purchased or provided materials, including code, explanations, instructions, documents, educational breakdowns, workflows, methods, and related content, are confidential and proprietary. You may not disclose, distribute, reproduce, post, summarize for resale, teach as your own product, share with a group, upload to a repository, or otherwise reveal the product contents to any third party. This restriction applies whether disclosure is free, paid, public, private, oral, written, recorded, digital, summarized, reverse-engineered, reconstructed, taught, or otherwise. Unauthorized disclosure may cause irreparable harm for which monetary damages may be inadequate, and AdrianMedici may seek injunctive relief and any other remedies available at law or in equity.

Liquidated Damages. Because the harm caused by unauthorized disclosure is difficult to quantify precisely, you agree that AdrianMedici shall be entitled to liquidated damages of $1,000,000 (one million US dollars) per breach of this confidentiality obligation. This amount represents a reasonable pre-estimate of damages and is not a penalty. Each separate act of disclosure constitutes a separate breach.

Whistleblower Reward. Any person who reports an unauthorized disclosure by a purchaser, with verifiable evidence sufficient to support a claim, shall be entitled to receive 50% of any damages recovered by AdrianMedici from the disclosing party, net of legal costs and expenses incurred in the recovery. 11. Intellectual Property

All website content and all related AdrianMedici materials, including text, design, branding, layouts, code, strategy concepts, documentation, videos, educational structures, and support materials, are owned by or licensed to AdrianMedici and are protected by applicable intellectual property laws. No ownership rights are transferred to you except for the limited license expressly stated in these Terms of Use.

12. Pricing, Payment, Delivery, and Acceptance

Pricing may be disclosed privately after review of your submission. AdrianMedici may change pricing, structure, eligibility criteria, scope, delivery timing, or offer terms at any time before an order is expressly accepted. A purchase is not accepted until AdrianMedici confirms acceptance. Delivery may occur by email, document transfer, platform access, file delivery, or another method chosen by AdrianMedici. For purposes of these Terms, "delivery" includes any transmission or provision of code, files, links, documents, instructions, access details, or educational materials to the purchaser.

13. Finality of Sale; No Refunds; No Reversals

All sales are final. No refunds will be issued after delivery, except as expressly provided in the 5-Year Performance Guarantee set forth in Section 24. By purchasing, you acknowledge that dissatisfaction, changed circumstances, lack of use, incomplete setup, technical difficulty, trading losses, misunderstanding of the material, disagreement with methodology, or failure to achieve expected results do not create any right to refund, return, cancellation, offset, chargeback, reversal, partial refund, or complaint-based compensation, except as provided in Section 24 or where non-waivable law expressly requires otherwise.

14. Chargebacks and Payment Disputes

You agree not to initiate any chargeback, payment reversal, bank dispute, processor dispute, or similar claim except in the case of a clearly demonstrable unauthorized transaction or other circumstance that cannot lawfully be waived. Before initiating any dispute, you must first contact [email protected] and allow a reasonable opportunity for review. If you initiate a chargeback or payment dispute contrary to these Terms of Use, AdrianMedici may present these Terms, your form acknowledgments, delivery records, and related communications in response to the dispute and may suspend or terminate any license or support immediately.

15. Disclaimer of Warranties

To the maximum extent permitted by law, the website and all products and materials are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. AdrianMedici disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, uninterrupted availability, compatibility with any platform or broker, or suitability for any trading objective, except for the explicit contractual refund obligation described in Section 24.

16. Limitation of Liability

To the fullest extent permitted by law, AdrianMedici and its owners, operators, affiliates, contractors, representatives, licensors, and service providers shall not be liable for any direct, indirect, incidental, special, consequential, exemplary, punitive, or similar damages arising out of or related to the website, the materials, any purchase, any use or non-use of the product, any trading decision, or any third-party platform or broker. This limitation includes, without limitation, loss of profits, loss of capital, loss of opportunity, service interruption, data loss, account issues, brokerage issues, tax consequences, reputational harm, or any claim based on dissatisfaction or unmet expectations. To the extent any liability cannot be fully disclaimed, the total aggregate liability of AdrianMedici shall not exceed the amount actually paid by you for the specific product giving rise to the claim, except where Section 24 expressly applies.

17. Indemnification

You agree to defend, indemnify, and hold harmless AdrianMedici and its owners, operators, affiliates, contractors, representatives, licensors, and service providers from and against any claims, demands, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the website, your purchase or use of the product, your trading activity, your misuse of the materials, your redistribution or disclosure of the materials, your violation of these Terms of Use, or your infringement of any third-party rights.

18. Regulatory Status and Compliance

AdrianMedici and its operators are not registered as investment advisers, broker-dealers, or commodity trading advisors with any federal or state regulatory agency unless expressly stated otherwise in writing. You are solely responsible for determining whether your purchase, use, trading activity, disclosures, and jurisdiction-specific conduct are lawful and compliant with any securities, tax, consumer, commercial, or regulatory obligations that may apply to you.

19. Suspension and Termination

AdrianMedici may suspend, restrict, or terminate your access to any materials, communication, support, or future updates at any time if we believe you have breached these Terms of Use, misused the product, redistributed confidential material, acted abusively, or initiated an improper payment dispute. Suspension or termination does not create any refund obligation except as may be required by the express terms of Section 24.

20. Governing Law and Venue

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms of Use, the website, or any AdrianMedici product shall be brought exclusively in the appropriate state or federal courts located in Wyoming, and you consent to their jurisdiction and venue.

21. Severability and No Waiver

If any provision of these Terms of Use is held unenforceable, the remaining provisions shall remain in full force to the maximum extent permitted by law. No failure or delay by AdrianMedici to enforce any right or provision shall operate as a waiver of that right or provision.

22. Changes to These Terms

We may update these Terms of Use at any time by posting a revised version on this website. The updated version becomes effective upon posting unless a later effective date is stated. Your continued use of the website or any AdrianMedici materials after changes are posted constitutes acceptance of those changes.

24. 5-Year Performance Guarantee

Subject to the conditions stated in this Section, AdrianMedici offers a performance guarantee to eligible purchasers.

Guarantee Terms. If you fully satisfy all conditions below and this framework does not outperform the S&P 500 Total Return Index (dividends reinvested) over your qualifying 5-year period, AdrianMedici will refund your full purchase price plus $10,000 USD.

Conditions. To qualify for this guarantee, all of the following conditions must be met:

Required Documentation. To submit a claim, you must provide:

Verification. AdrianMedici will review submitted documentation and determine in good faith whether all conditions have been satisfied. Verification may take up to 90 days from receipt of complete documentation. If conditions are satisfied, the full purchase price plus $10,000 will be refunded. If conditions are not satisfied, no refund will be issued.

No Partial Satisfaction. Partial compliance with any condition does not qualify for a partial refund. All conditions must be fully met.

Relationship to Other Provisions. This Section 24 constitutes the sole exception to the no-refund policy stated in Section 13. Nothing in this Section creates any obligation beyond the specific refund described herein.
